**Definitions**

For Clarification, the Service Provider is "ecofry" and the Client is "the Business" which has requested the service of cooking oil filtration. "The Service" is a 5 minute filtration of used cooking oil using the Vito VL Oil Filtration.

​**Oil Filtration Service**
The "ecofry" the Service Provider agrees to provide cooking oil filtration and cooking oil testing services using the VITO VL oil filtration system and the Vito FT440 Oil Tester Wand at the Client's business location. The service includes testing and filtering the used cooking oil currently in the Client's fryers to extend the oil's usable life and improve food quality.
 

1. **Service Fee**:
- The Client agrees to pay a service fee per filtration session.
- Payment is due upon completion of the service or as otherwise agreed in writing.

2. **Service Schedule**:
- ecofry will perform cooking oil testing and filtration service as agreed with the Client at the clients place of business.

3. **Client Responsibilities**:
- IMPORTANT ALLERGENS: The Client affirms that their fryers are not used for cooking allergen-free food and that all fryers contain oil used for general food preparation.

- IMPORTANT ALLERGENS: The Client confirm they are aware that this service is not appropriate for fryers that are used for cooking allergen-free food.

- As Ecofry has no control over how the oil is used we do not accept any liability or provide any guarantee regarding the stability or safety of the oil and the decision on when to change the oil is ultimately the businesses decision
- The Client agrees to turn off the fryers in their business and provide ecofry with uninterrupted access to their fryers for a maximum of 10 mins per fryer and ensure their fryers are in a clean and safe condition for the service.

4. **Liability**:
-  "ecofry" the Service Provider shall not be held liable for any damages or losses resulting from the use of their filtering equipment or any damages or losses resulting from the use of filtered oil on the Client's equipment.
- The Client assumes all responsibility for the condition and safety of their equipment.

- The Oil quality test performed with the Vito FT440 wand is only a guide the Client assumes all responsibility for deciding when the cooking oil has reached the end of its useable.

- The client indemnifies "ecofry" against any losses, fires or food spoils due to the over use of filtered cooking oil.

5. **Indemnification**:
- The Client agrees to indemnify and hold harmless the Service Provider "ecofry" from any claims, damages, or liabilities arising from the use of ecofrys oil filtration service, including but not limited to, claims related to food allergens, equipment malfunction, fires, food poisoning.

- The Oil quality test performed with the Vito FT440 wand is only to regarded as a guide and the Client assumes all responsibility for deciding when the cooking oil has reached the end of its useable life.

6. **Termination**
- Either party may terminate this Agreement at anytime by providing 24 hours advanced.
- In the event of termination, the Client agrees to pay for any services rendered up to the date of termination.

7. **Governing Law**
- This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
